I/We having inspected the above mentioned property and hereby acknowledge the ~CompanyName~ does not guarantee the accuracy of the particulars of title. And I/We hereby agree to purchase the same in its present state and condition “as is" free from all encumbrances but subject to all the existing expressed or implied conditions of title thereof and on the following main terms and conditions :-

2) Payment Terms :
Payment shall be in the following manner :-

c) Upon expiry of the~ExecutionDays~ days to grant an extension period of~GracePeriod~ days on the balance unpaid sum but subject to payment of interest at 8% per annum calculated on a day to day basis.
3) Fittings and Furnishing :
The Purchase Price shall include property's fittings and furnishings as per attached inventory list (if any) :

4) Vacant Possession :
* (a) Vacant possession shall be delivered upon full payment of the Purchase Price
(b) The property is sold subject to existing tenancy

In the event the Vendor rejects this offer, the said earnest deposit is to be refunded fully interest free within seven (7) working days and this agreement shall be null and void and neither party shall have any further claims whatsoever in this matter.
 
6) Sale and Purchase : I/We hereby undertake to execute the SPA within fourteen (14) working days excluding Saturday, Sunday and Public Holidays from the date of acceptance of this Letter Offer to Purchase by the vendor, SUBJECT to clause 10 (if any), failing which the said earnest deposit shall be forfeited, provided that such failure is not due to the default or omission of the Vendor or there is no delay on the part of the Vendor or Vendor's solicitor in agreeing to the terms and conditions of the Sale & Purchase Agreement.

The agency fee is payable and deductible from the deposits received on Vendor(s) behalf upon the signing of the Sale & Purchase Agreement; OR FIFTY PERCENT (50%)OF ANY FORFEITABLE EARNEST DEPOSIT if the transaction is cancelled by prospective purchaser(s) before the Agreement is executed. In the event the Vendor(s) refuse to sell the above mentioned property and/or execute the SPA after having accepted this offer, the Vendor shall agree to pay ~CompanyName~ a fee equivalent to FIFTY PERCENT (50%) of the agreed Agency Fees, and to refund the earnest deposit to the Purchaser plus agreed liquidated damages (compensation) a sum of equivalent to the earnest deposit or the Purchaser(s) is entitled to file specific performance.
 
7) Agency Fee : The vendor shall pay ~CompanyName~ the agency fee in accordance to Valuers, Appraisers and Estate Agents Act 1981 and Rules (Amendment) 2002 as agreed in the Letter Authorization for Sale, and payable immediately upon signing of the Sale & Purchase Agreement (SPA) plus ~TaxPercent~% Service Tax.
 
8) Transfer of Ownership : Liquidated damages shall not be payable if the aforesaid property / title cannot be transferred and/or consent cannot be obtained from the Developer or the relevant authorities. The said earnest deposit is to be refunded fully interest free within seven(7) working days and this agreement shall be null and void neither party shall have any further claims whatsoever in this matter.
 
9) Legally Binding Contract : This agreement of letter offer to purchase shall constitute a legally binding contract between the parties therein which shall be superceded only upon the execution of formal Sale and Purchase Agreement (SPA).
